We are looking for a seasoned fund formation lawyer to serve as its new global Head of Fund Formation. This role combines deep fund formation and investment fund structuring expertise with hands-on leadership of a small, high-performing team that supports private equity clients globally.
As Head of Fund Formation, you will oversee all aspects of fund and entity formation, structuring and charting. You will drive standardization across the group’s offerings, ensuring all legal documentation aligns with regulatory and investor expectations, while ensuring maximum integrity and efficiency across the entire lifecycle of fund and feeder fund offerings. As part of the practice, you will also review and certify fund structures for audit purposes for global clients.

Key Responsibilities
Strategy and Leadership:
Define and Drive Strategy: Own the vision and execution strategy for the practice group, ensuring alignment with Scissero’s product roadmap and financial targets.
Commercial Partnership: Act as the senior advisor and primary point of escalation for client stakeholders (including portfolio sponsors, fund counsel, and executive teams) on compliance strategy, risk mitigation, and operational excellence.
Scale and Innovation: Design the frameworks, playbooks, and organizational structures required to efficiently scale the practice group, maximizing leverage of Scissero’s proprietary legal technology and global operational hubs.
Team Leadership: Recruit, mentor, and manage direct reports (including dedicated associates and operational support staff), fostering a data-driven culture of continuous improvement, accountability, and client focus.
Fund Formation Oversight & Regulatory Compliance
Transaction Management: Oversee all fund setup activities, including the preparation and review of Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), subscription agreements, transfer agreements and side letters.
Investor Qualification: Provide expert oversight to ensure proper investor qualification, including compliance with US securities laws (e.g., Accredited Investor and Qualified Purchaser status under Regulation D).
Certification Authority: Issue and deliver final compliance certificates to fund counsel, formally certifying investor eligibility and legal adherence.
Stakeholder Liaison: Act as the critical nexus between the client’s legal teams, sponsors, investors, and Scissero’s execution teams to resolve complex legal or operational issues.
Operational Excellence & Reporting
Final Certification: Manage the end-to-end structure chart audit certification process, review existing materials, supervise data gathering and drafting, and certify the final outputs for the client’s corporate, fund, and portfolio entities.
Audit Readiness: Ensure all underlying documentation and charted entities maintain a defensible, audit-ready compliance trail, meeting both internal and external fiduciary standards.
Cross-Functional Interface: Interface seamlessly with client legal teams, accountants, and fiduciary service providers to validate and ensure the accuracy of all charted legal entities.
Legal Technology & Process Engineering
Digital Transformation: Lead the implementation of legal workflow automation and standardized process design across all fund formation and structure chart deliverables.
Operational Excellence: Re-engineer existing practice work flows to eliminate friction, reduce risk, and position the practice in line with Scissero’s other, cutting-edge, tech-enabled practice groups.
Data Integrity: Establish and enforce rigorous document management, naming, version control, and data capture protocols to ensure the integrity of client legal data for audits and regulatory checks (AML/KYC).
Reporting & Analytics: Implement and maintain robust dashboards, trackers, and analytical reporting that provide key performance indicators (KPIs) and actionable insights on project pipeline, velocity, and compliance status for both internal and client executive teams.
Required Skills and Experience:
J.D. or Equivalent Legal Qualification from an accredited institution.
5+ years of relevant experience in private fund formation, investment management,, or financial services legal documentation, ideally at a major law firm or large financial institution.
Deep Subject Matter Expertise: Strong, demonstrable knowledge of fund structures (including feeder funds), LPAs, transfer agreements and US investor qualification requirements (e.g., Securities Act, Regulation D).
Operational Mindset: Proven experience in legal operations, legal technology, or process improvement roles, demonstrating the ability to move beyond legal practice to scalable process design.
Technical Acumen: Proficiency in legal document management/DMS systems, workflow automation tools, and advanced data analytics/Excel.
Leadership and Change Management: Demonstrated success in leading teams, managing complex projects with executive visibility, and driving adoption of new technology and processes.
